   Midland Terms & Conditions of Trade

   Property Rights

1.        Midland retain all property rights and copyright unless otherwise stated

2.        Midland retain ownership of all products until full payment is received

3.        All recommendations and advice given by Midland is for guidance only

4.        Any customer data kept on our system will remain under the privacy act.

   Payment

1.        Prices quoted are exclusive of VAT

2.        Payment will be required in stages for each project, 25% deposit, 25% before production, 25% before post production, and a final payment of 25% on completion

3.        Payment is required by cheque or bank transfer for the invoiced amount to Midland on completion.

4.        On signing acceptance of the quote the customer accepts liability and payment of the full amount
Cancellation

5.        The customer cannot change their obligations from the contract nor can they be transferred to anyone else

6.        If a customer cancels a project within fourteen days of signing the quotation the full deposit will be forfeit. Cancellation after fourteen days will result in a charge for the full quotation

   Midland will not be liable for the following:

1.        The fault in any of their products or services as a result of improper use

2.        Failure to provide services or products caused by events outside the control of Midland

3.     The loss of any Data from removable media due to media failure failure

4.        Damage to persons, property or data caused by the use of Midland products or services

5.        A delay or failure to conform to any of the obligations under the contract that are caused by unforeseen circumstances outside the control of Midland, and failure of computer systems, software, and equipment used by Midland and any of their suppliers

6.        Midland will not be liable for any consequential loss, including profit and third party claims
